Transfer of Sponsorship of Exempla Healthcare

More than two years ago, the Board of Directors of Exempla Healthcare asked its two sponsors to address several issues that were going to be faced by the Exempla System. After much careful study, the sponsors, the Sisters of Charity of Leavenworth Health System (SCLHS) and the Lutheran Medical Center Community Foundation, now the Community First Foundation (CFF), found an exciting solution that will significantly enhance Exempla's capabilities for the foreseeable future. The key issues presented to the sponsors were the need for capital investments and simplification of the dual-sponsorship structure. A priority consideration was to keep the Exempla Healthcare system intact.
Since the proposed acquisition of CFF's membership interests by SCLHS will bring clear and immediate benefits, it is difficult to understand why the Exempla Board has decided to oppose the transfer. SCLHS has pledged an immediate capital investment of $300 million in the Exempla System and, in addition, has announced plans to rebuild its Denver facility, Saint Joseph Hospital. A separate $311 million would be committed to the CFF, greatly enhancing its ability to support health-related programs in Denver metropolitan area.
Certain procedures, currently available at Exempla's Lutheran and Good Samaritan Medical Centers would be discontinued when SCLHS becomes the sole sponsor. However, these represent less than 0.1 percent of the procedures currently performed at these facilities and solutions for alternate providers can surely be found.
The proposed restructuring of the Exempla sponsorship will no doubt lead to improved healthcare facilities and services, and will also vastly improve CFF's effectiveness as well. As a member of the CFF Board and long-time beneficiary of Exempla's services, I am hopeful that the parties involved will soon resolve their remaining differences for the benefit of all concerned.
